Master Services Agreement & Statement of Work

This Agreement

This Master Services Agreement ("Agreement") is entered into on [ date ] ("Effective Date") between:

TakeForge Studio, a sole proprietorship trading under that name, with its principal place of business at [ address ] ("TakeForge"); and

[ Client legal name ], a [ company / individual ] with its principal place of business at [ Client address ] ("Client").

TakeForge and Client are each a "Party" and together the "Parties".

1. Services

TakeForge will provide the animated-video production services described in the Statement of Work attached as Schedule 1 (the "Services"). Additional Statements of Work may be added under this Agreement by mutual signature.

2. Standard Terms incorporated

The TakeForge Terms of Service published at takeforge.com/terms.html (the "Standard Terms") are incorporated into this Agreement by reference. In the event of any conflict, the order of precedence is: (1) the Statement of Work, (2) this Agreement, (3) the Standard Terms.

3. Fees & payment schedule

Total fee for the Services: USD [ amount ], payable as follows:

• 50% on signing this Agreement (and before script work begins);
• 50% on delivery of the final video file.

All invoices are payable within 7 days of issue, by PayPal (account or PayPal Guest Checkout for cards) as agreed.

4. Term

This Agreement starts on the Effective Date and continues until completion of all Statements of Work signed under it, unless terminated earlier in accordance with the Standard Terms.

5. Notices

Formal notices to TakeForge: [email protected] (please use "Formal notice" in the subject). Formal notices to Client: [ Client notices email ].

6. Counterparts & e-signature

This Agreement may be executed in counterparts and by electronic signature, each of which is deemed an original and which together constitute one instrument.

Schedule 1 — Statement of Work

3. Deliverables

• Approved script document (PDF + Word).
• Voiceover stems (WAV + MP3).
• Storyboard (PDF).
• Final master video (MP4, H.264, 1080p) in the agreed aspect ratio.
• Source files (Adobe After Effects + Illustrator / Photoshop) — Premium only.
• Two square + vertical social cut-downs (≤ 30 s each) — if listed in §6 below.

4. Milestones & timeline

Estimated timeline (subject to feedback turnaround in §5):

• Kick-off call: [ date ]

5. Revisions & feedback

Included revisions per stage: [ 2 / 4 ]. Client feedback to be returned within 10 business days of each delivery; otherwise the deliverable is deemed approved.

6. Out-of-scope items (priced separately)

The following are explicitly NOT included in the fee in §3 of the MSA and will be quoted separately:

• Additional languages / voiceover translations.
• Additional aspect ratios beyond the master.
• Animated logo / brand sting (separate package).
• Caption files (.SRT) in non-English languages.
• Re-records caused by post-approval script changes.

7. Acceptance criteria

The final master is deemed accepted on the earlier of (a) Client's written approval, or (b) ten (10) business days after delivery if no written feedback within revision scope is received.
